These Terms of Service ("Terms") apply to your use of the FigyConsulting website, consultations, and any websites, software, hosting or other services we provide to you (the "Services"). "FigyConsulting," "we," "us," and "our" mean FigyConsulting and its owners, employees and contractors. "You" means the person or business using the Services. By checking the box to agree, creating an account, or using the Services, you agree to these Terms.

1. Consultations and estimates

Consultations are free and create no obligation for either party. Estimates, including build-cost ranges and monthly-bill ranges, are good-faith estimates only. They are not binding quotes or guarantees. Final scope, price and schedule are set only in a separate written agreement or invoice that both parties accept.

2. Your responsibilities

  • You are responsible for the accuracy and legality of all content, data, prices, policies and information you provide or publish through the Services, including anything shown to or collected from your own customers.
  • You are responsible for complying with all laws that apply to your business, including privacy, consumer-protection, payments, tax, accessibility, email and text-messaging laws.
  • You are responsible for keeping your account logins and passwords secure, and for all activity under your accounts.
  • You are responsible for reviewing and approving work before it goes live.

3. Third-party services

The Services rely on third parties, which may include Amazon Web Services, domain registrars, Stripe and other payment processors, GitHub, Cloudflare, and email and text-message providers. Your use of them is also subject to their own terms. FigyConsulting does not control and is not responsible for third-party services, including their availability, outages, security incidents, pricing, fees, policy changes, or decisions to suspend or close accounts.

4. Your domain and your code

We help you register your domain name in your own name and account, and you own it. You are responsible for keeping your registrar account, contact details and payment method current, and for renewals. FigyConsulting is not responsible if a domain lapses, is transferred, or is lost. When we give you access to your website's code (for example through GitHub), you are responsible for any changes you or anyone you authorize make to it, and for the results of those changes.

5. Fees and billing

You agree to pay the fees shown on your bills, including service fees, agreed build or setup fees, and hosting costs passed through from Amazon Web Services and other providers. Third-party costs can change without notice from those providers. Bills are due by the date shown. We may suspend Services for unpaid bills. Fees already paid are non-refundable unless we agree otherwise in writing.

6. No warranty

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, secure, or free of data loss, or that they will produce any particular business result, revenue, bookings or search ranking.

7. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FIGYCONSULTING WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR CUSTOMERS, OR FOR DOWNTIME OR SERVICE INTERRUPTIONS, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF WE HAVE BEEN TOLD SUCH DAMAGES ARE POSSIBLE. FIGYCONSULTING'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID FIGYCONSULTING FOR THE SERVICES IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

8. Indemnification

You agree to defend, indemnify and hold harmless FigyConsulting from any claims, damages, losses, fines and expenses (including reasonable attorneys' fees) arising from your content or data, your business, your customers, your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

9. Backups and data

We take reasonable steps to back up the systems we run for you, but you are responsible for keeping your own copies of any data that matters to your business. FigyConsulting is not responsible for lost or corrupted data.

10. Your contact information

We use the name, email address and phone number you give us to respond to your request, confirm your contact details, and provide the Services. We send verification codes and service-related messages by email and text. Message and data rates may apply. We do not sell your contact information.

11. Ending the Services

Either party may end the Services with written notice. You remain responsible for fees through the end of the billing period and for any third-party costs already incurred. Your domain stays in your name, and we will give you a copy of your website's code on request.

12. Changes to these Terms

We may update these Terms from time to time. The version date at the top shows when they last changed. Continuing to use the Services after an update means you accept the updated Terms.

13. General

These Terms are governed by the laws of the state in which FigyConsulting is based, without regard to conflict-of-law rules. If any part of these Terms is found unenforceable, the rest remains in effect. These Terms, together with any signed written agreement for specific work, are the entire agreement between you and FigyConsulting about the Services.
